1. Acceptance of Terms

This service is driven, maintained and operated by CivicJungle, LLC. Accordingly, the Terms & Conditions of the service are by and between your business and CivicJungle, LLC.

CivicJungle welcomes your participation and we look forward to building a beneficial business relationship subject to the terms and conditions contained herein. We reserve the right to modify or change these terms as needed and will post changes to the website. Any changes become effective immediately and it is your responsibility to view such changes and be familiar with them.

By completing the registration process and clicking on "I agree to the Terms and Conditions", you agree to be bound by these terms.

2. Description of Service

CivicJungle provides users a Service to promote their business. Several options are available for promoting their business both on and off-line by creating an on-line ad which can be either a Coupon Ad, Sponsored Link Ad, Logo Link Ad, Free Business Listing and/or Classified Ad placed on Civicjungle.com and promoting CivicJungle.com through several web search engines. In addition, CivicJungle at their sole discretion promotes the website in local print media including but not limited to, newspapers and various flyers. Unless explicitly stated otherwise, any new features that enhance the current Service shall be subject to these Terms. The Service is available to individuals who are at least 18 years old, whether acting on their own behalf or as an authorized employee or representative of a corporation or other business entity. If you do not so qualify, do not attempt to register for or use the Service. CivicJungle may refuse to offer the Service to any person or entity and may change its eligibility criteria, at any time, in its sole discretion. You understand and agree that CivicJungle assumes no responsibility for timeliness, deletion or mis-delivery.

3. Registration Obligations

In order to use this Service, you agree to: (a) provide true, accurate, current and complete information about you/your company as prompted by the Service's registration form and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. CivicJungle retains the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof) If we believe any information to be false, inaccurate, not current or incomplete.

4. Privacy Policy

CivicJungle will not intentionally disclose any of your personally identifying information (i.e., your name, telephone number, address, email address, or similar information that may be used to specifically identify you) to third parties without your consent except where CivicJUngle, in good faith, believes such disclosure is necessary to comply with the law or to enforce this Agreement. CivicJungle will not sell or otherwise give away your contact information to any third party. CivicJungle may utilize e-mails to notify you when you have successfully set up an account, when you have requested a temporary password be e-mailed to you, when payments have been processed, when campaigns have been activated, when campaigns are about to expire, when campaigns have expired, and, from time to time, CivicJungle may send e-mails mentioning important news regarding the Service or your account.

5. User Conduct

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not CivicJungle, are entirely responsible for all Content that you upload, post or otherwise transmit via the Service. CivicJungle does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content, including but not limited to business endorsements and commentary. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will CivicJungle be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.

YOU AGREE NOT TO USE THE SERVICE TO:

Upload, post or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
Harm minors in any way;
Impersonate any person or entity, including, but not limited to, a MerchantCircle official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service or develop restricted or password-only access pages, or hidden pages or images (those not linked to from another accessible page);
Upload, post or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
Upload, post or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
Upload, post or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
Intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
"Stalk" or otherwise harass another individual or merchant;
Collect or store personal data about users any individual or merchant (including for the purposes of advertising to or soliciting any MerchantCircle user to buy or sell any products or services) other than customers who willingly provide such information in order to explore bona fide business opportunities.
Create or submit unwanted email or messaging ('Spam') to any other CivicJungle user.

In addition, you agree that all hyperlinks and other offers comprising the Service (e.g. hyperlinks provided in connection with CivicJungle's RSS feeds) may not be modified from the original form in which such hyperlinks and other offers are generally made available by CivicJungle.

6. Coupons

If you as a merchant use the couponing feature to provide consumers with deals through the CivicJungle platform, you represent and warrant that you have authority to offer such a deal and promise to honor the terms of that deal as they are presented to the consumer through the CivicJungle platform. Without limitation of other representations, warrants, and indemnities elsewhere within these Terms, you specifically agree to indemnify CivicJungle against any claims by users of the service that the terms of a coupon or other offered deal were not honored. In addition, CivicJungle will not be held accountable for performance of Coupon or any other advertisement on the CivicJungle website.

7. Submitted Content

CivicJungle does not claim ownership of the Content you place on your CivicJungle Site. By uploading, submitting or otherwise disclosing or distributing content of any kind on the CivicJungle website or otherwise through the Service, you:

Grant to CivicJungle, its affiliates and their assignees the perpetual, irrevocable, non-exclusive, royalty-free right to use, reproduce, display, perform, adapt, modify, distribute, make derivative works of and otherwise exploit such content in any form for the purpose of providing the Services, including without limitation, any concepts, ideas or know-how embodied therein;
Represent and warrant to CivicJungle that you own or otherwise control all rights to such content and that disclosure and use of such content by CivicJungle (including without limitation, publishing content at the CivicJungle website) will not infringe or violate the rights of any third party; and
Acknowledge that the content may not be treated confidentially.

You agree not to provide CivicJungle with any confidential or proprietary information that you desire or are required to keep secret.

You acknowledge that CivicJungle does not pre-screen Content, but that CivicJungle shall have the right (but not the obligation) in their sole discretion to remove or block access to any Content that is available via the Service. Without limiting the foregoing, CivicJungle shall have the right to remove any Content that violates the Terms or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content.

8. Indemnity

You agree to indemnify and hold CivicJungle and its employees, harmless from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of your Content, your use of the Service, your connection to the Service, your violation of the Terms, or your violation of any rights of another.

9. No Resale of Service

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service.

10. Modifications to Service

CivicJungle reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that CivicJungle shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

11. Termination

CivicJungle may at its sole discretion, terminate your account and access to the Service, with or without cause or limitation if CivicJungle believes you have violated the Terms of the Service. Termination of your account may transpire with or without notification. Termination of your Company account includes (a) removal of access to all offerings within the Service, (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring further use of the Service. Except as expressly provided in this Agreement, Company shall not be liable to you or any third-party for any termination of your account or access to the Service.

12. Coupons, Deals and Promotions

Your correspondence or business dealings with, or participation in promotions of, merchants or advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such merchant or advertiser. You agree that CivicJungle shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.

13. Advertisers

Dealings with Advertisers. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. CivicJungle does not sponsor or endorse any advertiser or advertised product or service. Accordingly, you agree that CivicJungle shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.

14. Links

The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because CivicJungle has no control over such sites and resources, you acknowledge and agree that CivicJungle is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that CivicJungle shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

15. Proprietary Rights

You agree that the Service contains proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly provided herein to the contrary, you are not authorized, and you agree not, to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service, Content or the Software, in whole or in part.

16. Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CIVICJUNGLE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
CIVICJUNGLE MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM MERCHANTCIRCLE OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.
A SMALL PERCENTAGE OF USERS MAY EXPERIENCE EPILEPTIC SEIZURES WHEN EXPOSED TO CERTAIN LIGHT PATTERNS OR BACKGROUNDS ON A COMPUTER SCREEN OR WHILE USING THE SERVICE. CERTAIN CONDITIONS MAY INDUCE PREVIOUSLY UNDETECTED EPILEPTIC SYMPTOMS EVEN IN USERS WHO HAVE NO HISTORY OF PRIOR SEIZURES OR EPILEPSY. IF YOU, OR ANYONE IN YOUR FAMILY, HAVE AN EPILEPTIC CONDITION, CONSULT YOUR PHYSICIAN PRIOR TO USING THE SERVICE. IMMEDIATELY DISCONTINUE USE OF THE SERVICE AND CONSULT YOUR PHYSICIAN IF YOU EXPERIENCE ANY DIZZINESS, ALTERED VISION, EYE OR MUSCLE TWITCHES, LOSS OF AWARENESS, DISORIENTATION, ANY INVOLUNTARY MOVEMENT, CONVULSIONS OR OTHER SYMPTOMS POSSIBLY INDICATING A POTENTIAL PROBLEM.

17. Limitation of Liability

BUSINESS EXPRESSLY UNDERSTANDS AND AGREES THAT CivicJungle SHALL NOT BE LIABLE UNDER THIS AGREEMENT FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), REGARDLESS OF THE CAUSE OF SUCH DAMAGES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, COMPANY SHALL HAVE NO LIABILITY FOR DAMAGES RESULTING FROM: (a) THE USE OR THE INABILITY TO USE THE SERVICE; (b) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (c) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (d) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (e) ANY OTHER MATTER RELATING TO THE SERVICE OR THIS AGREEMENT. IN NO EVENT SHALL CIVICJUNGLE'S AGGREGATE LIABILITY UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED THE AMOUNTS ACTUALLY PAID TO COMPANY HEREUNDER; PROVIDED THAT LIABILITY ARISING UNDER ANY OTHER TERMS AND CONDITIONS MADE A PART OF THIS AGREEMENT MAY BE FURTHER LIMITED AS PROVIDED IN SUCH TERMS AND CONDITIONS.

18. Notice

Notices to you may be made via either email or regular mail. The Service may also provide notices of changes to the Terms or other matters by displaying notices or links to notices to you generally on the Service.

19. Copyrights & Trademarks

CivicJungle respects the intellectual property rights of others and we ask our users to do the same.CivicJungle trademarks and service marks and other Company logos and product and service names are trademarks of Company (the "Company Marks"). Without Company's prior written permission, you are not authorized, and you agree not, to display or use in any manner, the Company Marks.

20. Terms

You agree by completing the registration process that this agreement shall cover a period of three months. You may cancel this agreement at any time by providing an e-mail to: support@civicjungle.com or a letter to: CivicJungle.com P.O. Box 124 Denton, TX 76202. Cancellation of this agreement must take place by the end of the third month in any given period, therefore, CivicJungle is not responsible for any mail delays or server downtime. You understand and agree that any funds not used will be forfieted to CivicJungle.

21. Payment

Payments will be made by credit card unless arrangements are made with CivicJungle by paying 12 months in advance. Payments are collected in advance for Service and Company's credit card will be automatically billed for an additional three month period if a cancellation notice is not sent as per paragraph 20.

21. Agreement to Abide by Updated Terms or Rules

CivicJungle shall have the absolute right to update the terms of this agreement by 5 days notice to businesses; businesses may opt out of new terms by cancelling it's service in writing; however, businesses shall not be entitled to any refund for the unsused portion of the quarterly payment for the cancelled portion of the Service.
